Sales and Delivery Terms and Conditions for Filtnor AS
Introduction
Unless otherwise expressly waived by written agreement between authorized representatives of both parties, NL17 applies with the following addition:
Prices and offers
Offfers are valid for a maximum of 30 days after the offer has been sent from Filtnor. All prices are exclusive of VAT and other public charges. Shipping and packaging costs are added. All offers are subject to delays and/or material availability, and delivery time is only intended as an indication of a normal expected delivery time. Actual delivery time will only be available on the order confirmation and is dependent on material availability.
The buyer is himself responsible for making sure that the offer and order confirmation are in accordance with the buyer’s purpose.
Cancellation and return
The buyer does not have the right to cancel an ongoing order unless the seller agrees to this in writing. In the case of approved cancellations, a cancellation fee is added.
Goods will only be returned if the seller obtains a return from a subcontractor, and the buyer bears all costs associated with the return. The size of the refund amount is agreed separately in each individual case.
Shipment
Seller chooses shipping method. Shipping is charged to the buyer. Incoterms 2020 apply to all deliveries.
Upon receipt, the buyer must check that the delivery is complete and undamaged. In the event of any deficiencies or errors, the seller must be notified immediately.
Terms of payment
The seller’s standard payment terms are net 10 days upon approved credit check, unless otherwise agreed. The invoice is dated on the day the item is sent/delivered from production/warehouse.
Disputes
The contractual relationship between Buyer and Seller, as well as the sales and delivery conditions, is subject to Norwegian law. All disputes must be resolved by negotiation. If the matter cannot be resolved amicably, disputes relating to the contractual relationship must be finally settled by the ordinary courts in Norway. The seller has adopted the Oslo district court as the court of jurisdictiong.
